Terms of Service — Acceptance

By using our site or approving a proposal, you accept these Terms of Service and any referenced policies. Consequently, you represent that you have authority to bind your organization.

Terms of Service — Services & Scope

We provide web design, WordPress development, Local SEO, accessibility consulting, and light automation. Accordingly, the signed proposal or statement of work (“SOW”) defines exact deliverables.

Terms of Service — Payments

Unless stated otherwise, quotes exclude taxes and third-party fees. Moreover, deposits are non-refundable once work begins. Invoices are due upon receipt; therefore, late balances may pause work.

Scheduling, Changes & Approvals

We schedule work in sprints. To keep timelines predictable, you must supply content and approvals promptly. Furthermore, change requests outside the SOW will be estimated and, if approved, billed separately.

Intellectual Property & Licenses

You retain ownership of your pre-existing content; however, you grant us a non-exclusive license to use it to perform the services. We retain ownership of our pre-existing tools, components, and processes; as a result, we may reuse them across projects. Upon final payment, you receive a license to use the custom work product for your business.

Third-Party Tools & Integrations

We may integrate third-party services (e.g., hosting, analytics, plugins). Because these are governed by their own terms, you agree to those terms as well. Additionally, third-party outages or changes can affect features or uptime.

SEO & Accessibility

We follow current best practices for technical SEO and accessibility; nevertheless, search rankings and legal outcomes cannot be guaranteed. For fundamentals, see the Google SEO Starter Guide and Core Web Vitals. Clients are responsible for ongoing content quality, alt text accuracy, and compliance policies after handoff.

Terms of Service — Data & Privacy

We use reasonable safeguards to protect credentials shared with us; however, you are responsible for your systems, hosting accounts, and end-user data. In addition, you must maintain administrative access and backups unless our maintenance agreement states otherwise.

Terms of Service — Warranty & Liability

Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. To the fullest extent permitted by law, our aggregate liability will not exceed the fees paid for the services giving rise to the claim in the prior three months.

Maintenance & Support

Unless stated in the SOW, post-launch maintenance is billed separately. Moreover, emergency support is available on a best-effort basis. We may recommend updates to mitigate security risks; therefore, timely approvals help reduce exposure.

Terms of Service — Termination & Refunds

Either party may terminate for material breach after written notice and a reasonable cure period. If you terminate for convenience, you remain responsible for work completed to date; furthermore, we will provide a handoff package upon payment. Because services are customized, deposits and completed work are non-refundable; nevertheless, if we cannot reasonably perform due to circumstances within our control, we will propose alternatives or partial credits.

Publicity

Unless you opt out in writing, you grant us permission to list your brand and show non-confidential screenshots in portfolios or case notes; however, we will not disclose confidential information.

Governing Law & Venue

These terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law rules. Accordingly, exclusive venue lies in state or federal courts located in Rhode Island.

We may update these Terms periodically. Material changes will be posted on this page; consequently, your continued use of our services after changes constitutes acceptance.
