Terms & Conditions for web design services

These terms and conditions (“Terms”) describe how we work with clients and visitors of pestwebdesign.com. Please read them carefully before engaging our services or using the Site.

1. Acceptance

By using the Site, requesting a quote, or engaging our web design services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

Pest Web Design (“we,” “us,” “our”) provides flat-rate web design and related services for small businesses and local brands.

How terms apply

These Terms apply in addition to any written proposal, SOW, or email confirmation we provide for your specific project. If there is a conflict, the signed proposal or SOW will control for that project.

2. Scope

Project scope, deliverables, and approvals

Each project has a documented scope. We design, build, and prepare for launch based on that scope to keep timelines and costs predictable.

Deliverables

  • Structured pages/sections in WordPress (Elementor-friendly).
  • Design system consistent with the approved direction.
  • Basic on-page structure (headings, internal links, slugs).

Client responsibilities

  • Provide timely content, branding assets, and access needed to build.
  • Designate a single point of contact to approve milestones.
  • Respond to feedback requests within reasonable timeframes.

Revisions

  • Revisions included as specified in your proposal (e.g., one or two rounds).
  • Additional revisions or scope changes are billed at our then-current rate.
  • Substantial changes may require a change order and timeline update.

3. Timeline

Timeline, access, and scheduling

Project schedules depend on timely access to content and approvals. Delays in receiving assets or feedback can extend timelines.

Access & assets

Please provide hosting/login access and required assets early. If we cannot proceed due to missing inputs, we may pause the schedule until access is granted.

Approvals

We’ll request approvals at key milestones (layout, content placement, visual styling). Approval indicates acceptance for that stage.

4. Payment

Payment terms and billing

Our pricing is flat-rate per project unless otherwise stated. Specific schedules may vary by proposal.

Invoices & schedule

  • Typical schedule: deposit to book the project; balance due at launch or final handoff.
  • Electronic payments may include standard processing fees.
  • Late payments may pause work and could incur late fees.

Changes & extras

  • Work outside scope (extra pages, new features) is quoted separately.
  • Emergency/expedited work may include rush fees if accepted.

Refunds

  • Deposits retain your slot and are generally non-refundable once work begins.
  • If you cancel mid-project, we invoice for work completed to date.

5. Content & IP

Content ownership and intellectual property

You own your content; we retain rights to our pre-existing methods and libraries. After payment, you receive a license to the final deliverables as described below.

Your content

  • You represent you have rights to all content you provide (text, images, logos, etc.).
  • You grant us a non-exclusive license to use that content to complete your project.

Our materials

  • We retain ownership of our pre-existing IP, code snippets, and internal tools.
  • We may reuse generalized components, patterns, and processes in future projects.

License to deliverables

  • Upon full payment, you receive a perpetual, non-transferable license to use the final site deliverables for your business.
  • This does not include third-party assets subject to their own licenses (fonts, stock images, plugins).

6. Third parties

Hosting, plugins, analytics, and SEO notes

We commonly work with third-party hosts, plugins, and analytics tools. Their uptime, policies, and features are outside our control.

Hosting & uptime

  • Client is responsible for hosting, domain, and renewals unless otherwise stated.
  • We are not liable for outages, data loss, or third-party interruptions.

Plugins & updates

  • We favor lean, reputable plugins. Post-launch updates and maintenance are not included unless stated.
  • Premium plugin licenses (if requested) are the client’s responsibility.

SEO & performance

  • We implement sound structure, but do not guarantee rankings or specific Core Web Vitals scores.
  • Search performance depends on many factors outside our control (competition, content, links, updates).

7. Warranties & liability

Disclaimers, limited warranty, and limitation of liability

We provide services using reasonable care and skill. However, websites and the internet involve inherent risks.

No implied warranties

Except as expressly stated, services are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability

To the maximum extent permitted by law, our total liability for any claim is limited to the amount you paid for the specific project giving rise to the claim.

8. Confidentiality

Confidential information and portfolio credit

We respect confidentiality and also appreciate credit for our work where appropriate.

Confidential info

  • Both parties agree to use reasonable care to protect each other’s non-public information.
  • This duty does not apply to information already public or independently obtained without breach.

Attribution

  • We may include a discreet “Website Powered By Pest Web Design” credit unless you ask us to remove it.
  • We may showcase non-confidential work samples in our portfolio after launch.

Non-solicitation (optional)

  • For 12 months after project completion, you agree not to solicit our contractors to work directly, outside mutual written consent.

9. Cancellation

Cancellation, pause, and termination

Projects may be paused or terminated with written notice. We’ll invoice for completed work and deliver assets applicable to that stage upon payment.

Client-initiated

You may cancel anytime. Deposits are typically non-refundable; work-to-date and non-recoverable expenses remain payable.

We may pause/terminate

We may pause or terminate for non-payment, prolonged inactivity, or violation of these Terms. You remain responsible for amounts due.

10. General

Governing law, changes, and contact

These Terms form the entire agreement regarding the Site and related services, except where a signed proposal or SOW states otherwise.

Governing law

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict of laws rules. Disputes will be handled in a venue of competent jurisdiction within Rhode Island.

Changes to Terms

We may update these Terms periodically. When we do, we will revise the “Last updated” date above and, if appropriate, provide additional notice.
